Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Headjacks website (headjacks.com), the Headjacks customer portal (portal.headjacks.com), and the Headjacks mobile app (together, the “Services”), operated by Headjacks, Inc. (“Headjacks,” “we,” “us,” or “our”). By creating an account, downloading the mobile app, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.

Headjacks is a business-to-business platform. If you are using the Services as a Field User on behalf of an employer or other organization that has engaged Headjacks (a “Customer”), your use is also subject to any agreement between that Customer and Headjacks, and to your employer’s own policies. Where these Terms and a Customer’s agreement with Headjacks conflict as to that Customer’s account, the Customer agreement controls.

You must be at least 16 years old and able to form a binding contract to use the Services. Mobile app and portal accounts are generally created or authorized by a Customer for its Field Users; you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to provide accurate information when creating an account and to keep it up to date. Notify us promptly at legal@headjacks.com if you believe your account has been accessed without authorization.

You agree not to:

• use the Services for any unlawful purpose or in violation of these Terms;
• submit job data, verification photos, or other content that is fraudulent, inaccurate, or not genuinely captured in the course of the work it purports to document;
• attempt to access another Customer’s tenant, data, or account, or otherwise circumvent the platform’s multi-tenant isolation;
• reverse-engineer, decompile, or attempt to extract the source code of the mobile app or portal, except to the extent applicable law expressly permits;
• interfere with or disrupt the integrity or performance of the Services, including by introducing malware or attempting unauthorized access to our systems; or
• use the Services to build a competing product or to scrape or harvest data at scale.

As between Headjacks and a Customer, job data, verification photos, survey responses, and other work-product content submitted through the Services (“Customer Data”) remain the property of the Customer (or, where applicable, the Field User who created it, subject to the Customer’s own policies). Headjacks does not claim ownership of Customer Data.

You grant Headjacks a license to host, process, transmit, and display Customer Data solely as necessary to provide the Services — including generating the reports, exceptions, and AI-assisted analysis (see Section 5) that Customers configure.

The Services include AI-assisted features (including the “Ask Jax” assistant) that may process text, photo, or job data — on-device or via cloud AI processing providers — to generate summaries, answers, or exception flags. AI-generated output may be inaccurate or incomplete and is provided to assist, not replace, human judgment; Customers and Field Users remain responsible for decisions made using it. The Services rely on third-party infrastructure and platform providers (including Google Cloud / Firebase, Google Maps Platform, and underlying AI model providers) and may interoperate with third-party hardware, such as paired smart-glasses accessories. We are not responsible for the availability, performance, or acts or omissions of these third-party providers, though we select and contract with them to protect your information as described in our Privacy Policy.

The Services, including their software, design, and Headjacks-created content, are owned by Headjacks or our licensors and protected by intellectual property laws. Except for the limited rights expressly granted to use the Services, no rights are transferred to you. “Headjacks” and related names and logos are trademarks of Headjacks, Inc.

A Customer or its authorized administrator may deactivate a Field User’s account at any time. You may also request deletion of your own account and personal profile information directly within the mobile app (Account Settings) or by contacting us at legal@headjacks.com. We may suspend or terminate access to the Services for any account that violates these Terms or poses a security risk to the platform. Job and verification records associated with a Customer’s account are retained and governed by the agreement between Headjacks and that Customer, independent of an individual Field User’s account status.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEADJACKS AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

We may modify or discontinue features of the Services, and may update these Terms from time to time. If we make material changes, we will update the “Effective Date” below and, where appropriate, provide additional notice (such as an in-app or portal notification). Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the United States and the state in which Headjacks, Inc. is incorporated, without regard to conflict-of-laws principles, except where a Customer agreement specifies otherwise for that Customer’s account.
